The public lecture entitled “Implementation of the Business Judgment Rule (BJR) in the Development of Business Law in Indonesia” served as an academic forum to deepen understanding of corporate law principles and protection for business decision-makers in Indonesia.

In his presentation, Prof. Isis explained that the Business Judgment Rule is a doctrine that developed in the Anglo-Saxon legal system and is now adopted in various Indonesian business law regulations. This doctrine provides legal protection to company directors who make business decisions based on the principles of due care and due diligence in good faith.

“BJR is not an exemption from responsibility, but protection for business decisions that are made professionally and do not conflict with the interests of the company,” he said.

In his presentation, Prof. Isis also reviewed the differences in opinion between the Supreme Court (MA) and the Constitutional Court (MK) regarding the status of state assets that are separated in state-owned enterprises (BUMN). According to him, these differences in interpretation have given rise to two legal regimes that affect legal certainty and the risk of criminalization in business practices.

“Legal certainty for business actors can only be created if regulations and interpretations between legal institutions are in harmony,” he said.

Prof. Isis closed the session with an inspiring message for legal academics to continue playing a role in strengthening legal integrity and justice in Indonesia.

“Sound legal development can only be achieved through collaboration between academics, practitioners, and policymakers,” he concluded.
